Board of Directors

The By-Laws provide that the board of directors will consist of not more than nine directors, one of which is the Chairman of the board of directors. Pursuant to the Novo Mercado rules, at least 20% of all directors must be independent. Currently, Cia. Hering’s Board of Directors has one independent director, in compliance with the rules of the Novo Mercado. All of the directors are elected at a shareholders’ meeting for a two-year term of office.

Holds a degree in law and economics from the Pontifical Catholic University of Paraná (PUC/PR) and a specialization degree in macroeconomics, law, marketing, and strategy. Mr. Ivo Hering is Chairman of the Board of Directors since April 28th, 2009. He has been a member of our board of directors since 1977 and an executive officer from 1971 to 2009. He is also chief executive officer of Hering International SAFI and former chief executive officer of Ceval Alimentos Group. He has been with us for forty years and started his career as trainee, assuming later the positions of administrative director, vice executive officer, executive vice-president, and chief executive officer.

Mrs. Andrea Oliveira Mota Baril Director 04/29/2019

Graduated in Business Administration from the Federal University of Bahia, specializing in Strategic Marketing by ESPM and an MBA in Business Management from Fundação Dom Cabral. She has more than 20 years of experience in marketing, retail, franchising and business management. She worked for Grupo O Boticário from 1997 to 2014, where she was also Executive Director, responsible for the construction and implementation of the Company’s strategic plan and multi-channel management, which included direct sales, repositioning of brands and management of the franchise network. Andrea also went through companies like Unibanco, Benetton and Wet’n Wild. She is also a member of the board of Endeavor Brasil and EY (formerly Ernst & Young) in the world program Winning Women.

Mrs. Claudia Worms Sciama Director 04/29/2019

Graduated in Social Communication from ESPM, with a specialization in Marketing from the University of California of San Diego and an MBA from FIA (FEA USP Administration Institute Foundation). Ms. Claudia is the Commercial Director of Google for the Retail and Technology segment, where she has been working since 2007. She has extensive experience in technology companies, since 2000 when she worked on the auction site and then for 5 years on Yahoo! Brazil where she worked with business partnerships and was commercial director of Yahoo! Search Marketing (search marketing business unit).

Mr. Fábio Colletti Barbosa Director 04/29/2019

Fábio Barbosa was CEO of ABN Amro Real bank since 1996 and in 2008, with the acquisition of Banco Real from Santander, he became CEO of Santander Brasil. From 2007 to 2011, he was also CEO of Febraban. Between 2011 and early 2015, he was CEO of Abril Mídia. He is currently chairman of the Board of Osesp Foundation; Member of the Board of the UN Foundation, to support the UN and promote international cooperation, a member of the boards of Itaú-Unibanco, Gávea Investimentos, Insper, Instituto Empreender Endeavor, CLP (Center for Public Leadership) and Ayrton Senna Institute, among others. In 2011 he was recognized as Personality of the Year by the Brazil-United States Chamber of Commerce in New York. And in 2012, it was awarded the UN Champions of the Earth Award (United Nations Environmental Program) for its business vision. Fábio has a degree in Business Administration from Fundação Getúlio Vargas of São Paulo and a MBA from the Institute for Management Development (IMD) in Lausanne, Switzerland.

Mr. Fabio Hering is the Chief Executive Officer and a member of the Board of Directors. Graduated in business administration from the Pontifical Catholic University of São Paulo (PUC-SP), he has specializations in Marketing, Finance and Strategy. He has worked at Cia. Hering since 1984, having worked as a trainee, Fashion Division Director, Operations Director, Vice President and Investor Relations Director. He has served on the board of directors of several retail/consumer companies. He is currently a member of the board of directors of Grupo Tigre, the board of ABVTEX and IEDI.

Mr. Celso Luis Lodduca Director 04/29/2019

Graduated in Advertising, he began his career in 1986. Worked as a copywriter at Young & Rubicam, Talent and W / Brasil, before becoming FCB’s Vice President in 1992. In 1995, founded Loducca, one of Brazil’s largest advertising agencies. Was a Counselor of TIM Brasil until March 2019. Currently, he is the CEO of Loducca Comunicações, Counselor of Santa Cruz College and Education Partners. Outside the advertising universe, he is a founding partner of Casa do Saber, a cultural center that promotes debates and dissemination of knowledge in the city of São Paulo.

Mr. Patrick Charles Morin Junior Director 04/29/2019

North American. Holds a degree in Business Administration from “Claremont Men´s College” (California) and master degree (MBA) from Columbia (New York) in 1970, with specialization in Export. Participated in the International Executive Program from Harvard Business School. Worked at Chemical Bank in New York, Brazil, London and Brussels. In 2001 was responsible for the merger between JP Morgan and Chase Manhattan in Brazil, where he was also Chief Executive Officer until 2003. Currently he is the chief executive officer of Morim Consultancy and member of the board of directors and compensation committee of companies like Topsport Ventures S.A., Ideal Invest S.A. and Cia. Hering. He is also a member of the consulting board of Prática Produtos S.A., a member of the Endeavor Global board and assists the Endeavor Project . Over the last thirty years, he has also been a member of the American Chamber, Brazilian International Banks Association (A.B.B.I.) and president of the Graded School board. He also participated in many social project with focus in education.

Holds a degree in Accounting from the Faculty of Economic Sciences of São Paulo, Fundação Álvares Penteado, in 1969. Former partner of KPMG Auditores Independentes (1966-2005), where was coordinator of the practice of Financial Services and member of the Executive Committee. Acted as partner responsible for auditing financial institutions, insurance companies and private pension entities. Was Superintendent Director of KPMG PREV – Private Pension Society (2000 to 2009). He is currently a member of the Board of Directors of Banco Indusval S.A., since 2011, coordinating member of the Audit Committee of Tarpon Investimentos S.A., since 2010, and Omega Energia S.A., since 2017.

He was a member of the Audit Committee of HDI Seguros, Tokio Marine Seguradora, Grupo Sul América de Seguros and Somos Educação S.A..

Graduated in Psychology from Universidade São Marcos, with a specialization in Business Administration, with a focus on Human Resources from Fundação Getúlio Vargas (FGV), MBA in Human Resources and Specialization in People Analytics, both from Fundação Instituto de Administração (FIA).
She started her career in Human Resources at companies such as Totvs and Tivit and consolidated herself in the area after working in the areas of Organizational Development, Training, Internal Consulting, Diversity and Social Responsibility at Citibank, where she stayed for 8 years. Later, she worked at Bank of America Merrill Lynch as responsible for the Training and Development area for Latin America. Then, she migrated to Kroton, where she held leadership positions at the head of the Recruitment and Selection, Training, Development and Internal Consultancy areas, until she reached the position of Human Resources Director, having an active participation in the digital transformation process of the company. Currently, she is Cia. Hering’s Director of Culture and People, covering Institutional Relations, Human Resources and Sustainability.
